Terms of Service for the Wellysa Application and the www.wellysa.com Website

1. Wellys' Philosophy

We invite you to the world of Wellysa, an ecosystem of personalized preventive healthcare services, at the heart of which is the convenient Wellysa mobile app, which serves as the system's main user interface. Wellysa is a next-generation preventive healthcare system designed to take preventive healthcare to a new level. We believe that health is paramount, which is why we base our services on the concept of digital humanism, placing the user and their well-being at the heart of every digital and medical solution we offer. Wellysa combines an application designed for intuitive use, leveraging the latest technologies to generate analyses based on medical algorithms developed by leading medical experts. The Wellysa application provides users with reliable and relevant health information, so that everyone can actively take care of themselves using available diagnostic and preventive tools. Our website at www.wellysa.com and the Wellysa mobile app, available in Google Play and the App Store, feature detailed descriptions of all our services, both free and commercial. Wellysa's philosophy is based on a commitment to data security, is based on advanced algorithms, and promotes individual responsibility for health. Our primary goal is to provide a system that, using advanced technologies, supports real improvements in quality of life and promotes health and preventative care. At Wellysa, every user interaction with the service is another step towards more informed and effective preventative care. Wellysa supports users in making informed health decisions, emphasizing simple app design and clear communication. The Wellysa app is more than just a tool – it is a reliable medical partner providing medical-standard treatment services, accompanying them on their long-term journey to health. We help change health habits and make it easier to take care of your health by offering comprehensive Wellysa's Services and supporting the process of users actually completing recommended tests and other preventative recommendations.

2. General Provisions

2.1 The "Wellysa" mobile application (hereinafter referred to as the "Application") and the website www.wellysa.com (hereinafter referred to as the "Website"), hereinafter collectively referred to as the Website, are provided by NZOZ Wellysa Sp. z o.o. (hereinafter referred to as "NZOZ Wellysa"): Niepubliczny Zakład Opieki Zdrowia Wellysa spółka z ograniczoną odpowiedzialnością with its registered office in Warsaw at ul. Grójecka 22/24/32, 02-301 Warsaw, registered in the Register of Entrepreneurs of the National Court Register maintained by the District Court for the capital city of Warsaw in Warsaw, 12th Commercial Division of the National Court Register under KRS number 0001092700, NIP (Tax Identification Number) 5252996220, REGON (National Business Registry Number) 528027906, entered into the Register of Entities Performing Medical Activity under number 000000289562, with the share capital of PLN 5,000.

2.2 NZOZ Wellysa is a subsidiary of Wellysa Spółka Akcyjna, with its registered office in Warsaw at ul. Grójecka 22/24/32, 02-301 Warsaw, entered into the Register of Entrepreneurs of the National Court Register maintained by the District Court for the capital city of Warsaw in Warsaw, 12th Commercial Division of the National Court Register, under KRS number 0000995956, Tax Identification Number (NIP) 7011112054, National Business Registry Number (REGON) 52271206, with share capital of PLN 1,677,773.02.

2.3 These Terms and Conditions define the terms and conditions for the provision of services electronically using the Application, including in particular: 2.3.1 the possibility of accessing and reviewing materials available in the Application, 2.3.2 the terms and conditions for setting up and using a free account by the User, 2.3.3 the terms and conditions for concluding a paid Healthcare Services Agreement with NZOZ Wellysa, which provides health care services in the manner described below.

2.4 Use of the Website is a service provided electronically by NZOZ Wellysa to Users, in accordance with the Act of 18 July 2002 on the provision of services by electronic means (consolidated text: Journal of Laws of 2020, item 344).

2.5 The Terms and Conditions define the terms of use of the Website, constituting an agreement between the User and NZOZ Wellysa.

2.6 The Terms and Conditions are an integral part of the agreement for the provision of electronic services concluded with the User. The condition for concluding the Agreement is the User's acceptance of these Terms and Conditions at the time of registering the User account.

2.7 These Terms and Conditions come into effect on July 30, 2025, and apply to Agreements concluded with the User after their entry into effect.

2.8 Wellysa makes the Terms and Conditions available to Users via the Application and the website www.wellysa.com before concluding the Agreement in an IT system, in a manner enabling its downloading, printing, and saving.

2.9 Acceptance of these Terms and Conditions is tantamount to the User's simultaneous acceptance of the NZOZ Wellysa Privacy Policy, which is a separate document made available to the User via the Application and the website www.wellysa.com before concluding the Agreement in an IT system, in a manner enabling its downloading, printing, and saving.

3. Definitions

3.1 Application – the "Wellysa" mobile application, owned by NZOZ Wellysa, enabling in particular Registration, free use of the User Account, purchase of Wellysa Services, and proper implementation of the purchased Wellysa Service.

3.2 Personal Data – any information relating to an identified or identifiable natural person. Personal Data is processed only by authorized entities.

3.3 Medical Data – any information concerning the user's health, such as personal and family medical history, DNA mutation test results, blood test results or other biological material test results, and results of other medical tests, which NZOZ Wellysa possesses and processes with the User's consent and knowledge as part of the Wellysa Services offered to the User. Medical Data is processed only by authorized entities.

3.4 Payment Service Provider – a payment service provider within the meaning of the Act of 19 August 2011 on payment services, which services the Fees covered by the Terms and Conditions.

3.5 Account – the User's individual account in the Application, in which the User has access in particular to information about Orders placed by the User.

3.6 Partner Code – information containing a barcode or numeric code enabling one-time use of the Wellysa's Service, in particular access to the part of the Application dedicated to paid Wellysa's Services.

3.7 Discount Code – information containing a barcode or numeric code enabling use of a paid Wellysa's Service at a reduced price. The code may specify a percentage or amount discount, calculated from the Fee for a given Wellysa's Service. Discount Codes may be reusable or one-time, and may be valid indefinitely or for a specified period.

3.8 Laboratory – a healthcare entity operating a Collection Point or not, within the meaning of Art. 2 point 1 of the Act of September 15, 2022 on Laboratory Medicine (consolidated text: Journal of Laws of 2023, item 2125), which provides health services based on a health services agreement with NZOZ Wellysa.

3.9 Fee – the fee paid by the User immediately after ordering the Wellysa Service, performed by NZOZ Wellysa, the amount of which is provided each time before confirming the Order.

3.10 Wellysa Partner – a collective term for all entities cooperating with NZOZ Wellysa on the basis of cooperation agreements, contracts for specific work, or agency agreements, in the field of promoting health prevention.

3.11 Wellysa Medical Partner - a collective term for all entities cooperating with or providing medical services to NZOZ Wellysa, based on concluded cooperation agreements or agreements for the provision of medical services. Only an entity entered in the Register of Entities Performing Medical Activities or a Medical Specialist with a valid Professional License (PWZ) may become a Wellysa Medical Partner.

3.12 Wellysa Scientific Partner - a collective term for all entities cooperating with NZOZ Wellysa, based on concluded scientific cooperation agreements.

3.13 Privacy Policy - the document "Privacy and Cookie Policy for the "Wellysa" mobile application and the website www.wellysa.com." Accepting the terms of the privacy policy is a necessary element of creating a User account.

3.14 Collection Point – the location of a Laboratory unit or an independent Wellysa's Medical Partner where the User can submit biological material for testing as part of the Wellysa's Service, on the days and hours of specified availability. The current list of Collection Points and their availability hours are available in the Application.

3.15 Wellysa's Report – a medical document of NZOZ Wellysa, transmitted in the form of a file or a set of files, in PDF format, uploaded by authorized employees of NZOZ Wellysa, to the individual user account of the Application, which, depending on the scope of the purchased Wellysa Service, may consist of: (i) results of completed surveys, (ii) results of DNA tests, (iii) results of tests of blood or other biological material, (iv) preventive recommendations, (v) other information relevant to medical prevention.

3.16 Registration – creating a User account enabling further use of the Application and access to Wellysa Services.

3.17 GDPR – Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to processing of personal data and on the free movement of such data, and repealing Directive 95/46/EC (OJ EU L 119 of 2016, p. 1, as amended).

3.18 Website – the "Wellysa" mobile application and the website www.wellysa.com jointly.

3.19 Website – the website www.wellysa.com, owned by NZOZ Wellysa.

3.20 Electronic Service Provision – the performance of a service provided without the simultaneous presence of the parties (remotely) through the transmission of data at the individual request of the User, sent and received using electronic processing devices, including digital compression and data storage, which is entirely transmitted, received, or transmitted via a telecommunications network within the meaning of the Act of 16 July 2004 – Telecommunications Law (consolidated text: Journal of Laws of 2024, item 34).

3.21 Agreement for the Provision of Electronic Services – an agreement for the provision of electronic services concluded between NZOZ Wellysa and the User, specifying the terms and conditions under which the User's account is created and maintained, as well as the rules for concluding Healthcare Services Agreements offered by NZOZ Wellysa via the Application.

3.22 Agreement for Healthcare Services – an agreement concluded with the User by NZOZ Wellysa via the Application.

3.23 Wellysa's Service – a service in the field of medicine for preventive purposes (health services within the meaning of Art. 2, Section 1, Item 10 of the Act of April 15, 2011 on Medical Activity (Journal of Laws of 2024, item 799), which includes various health services, individually or in the form of a set of services, which will be provided using the Application and/or in the form of physical tests, performed by medical entities authorized to provide health services, i.e. Wellysa's NZOZ, Laboratory, Blood Collection Points and Wellysa's Medical Partners, such as:
3.23.1 collection of blood or other biological material at the Laboratory, Blood Collection Point or Wellysa's Medical Partner.
3.23.2 self-collection of other material by the User, using a specialized blood collection kit received in person or by mail. self-collection, and submitting it for analysis in person or by mail to the address of the Laboratory, Collection Point, or Wellysa's Medical Partner designated by NZOZ Wellysa.
3.23.3 analysis of a personal and family history questionnaire of selected diseases (hereinafter referred to as "Genogram Analysis"),
3.23.4 testing of biological material for DNA mutations, performed using various laboratory testing methods,
3.23.5 testing of blood or other collected biological material to determine the levels of various medical metrics,
3.23.6 possible repeat procedure, e.g., repeat blood collection and re-analysis of the biological material, if significant medical indications arise,
3.23.7 medical teleconsultation to discuss high medical risk and further medical recommendations,
3.23.8 preparation of the Wellysa's Report, transmitted as a PDF file in the Application, containing Results of tests and analyses, medical risk assessments, recommendations for check-ups, and lifestyle changes.
3.23.9 Performance of any other medical procedures and services that are medically recommended for a given User and that are currently offered by the Wellysa Application.

3.24 User – any adult natural person with full legal capacity who uses the Application in any way and/or has registered in the Application and/or has purchased the Wellysa Service, has accepted the provisions of these Terms and Conditions of the Wellysa Service, the Terms described in the Privacy Policy, and/or places an Order and purchases the Wellysa Service and uses the Wellysa Service in a manner not directly related to their business or professional activity.

3.25 Terms and Conditions – the document "Terms and Conditions of the Wellysa Service" specifying the rules for the performance by NZOZ Wellysa of Healthcare Services Agreements, the subject of which is the provision of healthcare services comprising the Wellysa Service. Acceptance of the Terms and Conditions is a necessary element of the Wellysa Service purchase process.

3.26 Order – a declaration of intent aimed at concluding a Healthcare Services Agreement with NZOZ Wellysa, addressed to the User via the Application, preceded in particular by selecting the Wellysa Service from among the options available to the User, accepting the Wellysa Service Regulations, Wellysa Privacy Policy, Wellysa Service Terms and Conditions, and selecting the payment method.

4. How the application works

4. Principles of operation of the application

4.1 The application allows the User to:
4.1.1 access to knowledge containing educational content on prevention and informational content presenting the Wellysa's prevention philosophy and the scope of Wellysa's Services.
4.1.2 access to the profile, allowing for editing User data, editing consents granted to NZOZ Wellysa, and access to invoices for purchased Wellysa Services,
4.1.3 access to the preventive profile, allowing for the initial definition of basic medical recommendations and recommended tests, based on basic medical metrics such as age, gender, and basic medical history of certain diseases,
4.1.4 access to a personal preventive examination calendar, determined by NZOZ Wellysa based on the free preventive profile built,
4.1.5 access to the Wellysa's Assistant, which reminds the User of upcoming dates for recommended tests and possible updates to recommendations.
4.1.6 concluding a Healthcare Services Agreement with NZOZ Wellysa through it, in order for the User to obtain a medical service called the Wellysa Service, the purchase of which enables access to all or part of the following modules in the Application, depending on the scope of the purchased Wellysa Service:
4.1.6.1 access to the genogram module, a specialized survey of personal and family health history and certain diseases,
4.1.6.2 access to the sample collection module, i.e., the process of collecting blood or other material for testing, at a Laboratory facility, Collection Point, or at a selected Wellysa's Medical Partner.
4.1.6.3 access to the self-collection module, i.e., the process of collecting samples independently by the User, at home, using a specialized self-collection kit received in person or by mail, and submitting it for analysis in person or by mail to the address of the Laboratory, Collection Point, or Wellysa's Medical Partner specified by NZOZ Wellysa.
4.1.6.4 access to the results module, presenting the results of tests performed as part of the Wellysa's Services,
4.1.6.5 access to the Wellysa's Report, a PDF document prepared by NZOZ Wellysa, summarizing the results of medical services performed as part of the Wellysa's Services, as well as the conclusions and preventive recommendations resulting from them,
4.1.6.6 one-time update of the Wellysa's Assistant and update of the individual test calendar, based on recommendations resulting from the Wellysa's Services.
4.1.6.7 access to the teleconsultation module, allowing you to schedule a convenient date and conduct a teleconsultation with a physician via teleconference on a mobile device.

4.2 The Healthcare Services Agreement is concluded between the User and NZOZ Wellysa through the Wellysa Application.

4.3 The User can use the Application by freely installing it on a mobile device. The Application is available in the AppStore and Google Play online stores. On the website www.wellysa.com there are buttons that allow you to go to the above platforms to download the Application.

4.4 In order to use the services referred to in point 4.1, the User is obliged to register in the Application.

4.5 Registration in the Wellysa Application is free of charge.

4.6 Wellysa Services are provided for a fee and may enable access to Wellysa Application modules that are not available free of charge.

4.7 Services provided electronically via the Application, which allow the User to access and download test results and the Wellysa Report, do not constitute the provision of healthcare services, but are solely intended to provide access to medical records in accordance with the requirements of the Act of November 6, 2008, on Patients' Rights and the Patient Ombudsman, to the extent that they were generated in the process of providing services by NZOZ Wellysa under the Healthcare Services Agreement concluded with the User.

5. Technical Conditions

5.1 NZOZ Wellysa conducts ongoing technical supervision of the Website, ensuring its proper operation. NZOZ Wellysa does not guarantee constant availability of the Website.

5.2 To fully utilize the functionalities offered by the Application, it is recommended that the following technical requirements be met: a device (phone) running on the iOS operating system (minimum version 13.0) or Android SDK (minimum version 21) with internet access. Using the Website requires internet access and a browser capable of viewing the Website.

5.3 NZOZ Wellysa reserves the right to withdraw or modify the Website for any reason (e.g., for privacy reasons or other legal reasons related to the content or operation of the Website), and also reserves the right to temporarily discontinue the Website for reasons such as maintenance related to modifications to the Website.

5.4 NZOZ Wellysa reserves the right to deprive the User of the ability to use the Website, in particular the Application (by blocking or deleting their account), with immediate effect, in the event of a breach of these Terms and Conditions by the User, in particular if the User:
5.4.1 provided false, inaccurate, or outdated data during Registration on the Website, misleading data, or data that violates the rights of third parties,
5.4.2 violated the personal rights of third parties through the Website,
5.4.3 engaged in other behavior that NZOZ Wellysa deems reprehensible, inconsistent with applicable law and/or general principles of using the Internet, contrary to the purposes of the Website, or detrimental to the good name of NZOZ Wellysa.

5.5 A User who has been deprived of the right to use the Website may not re-register on the Website without the prior consent of NZOZ Wellysa.

5.6 NZOZ Wellysa reserves the right to suspend the operation of the Website at any time and for any reason. In such a case, registered Users will be notified.

5.7 The availability of the Website may depend, in particular, on meeting the technical conditions referred to in point 5.2, data transmission packages, use of the Internet and electronic communications. NZOZ Wellysa does not guarantee uninterrupted and uninterrupted access to the Website due to the properties of the Internet and the User's computer equipment beyond NZOZ Wellysa's control.

6. Registration

6.1 To create an account in the Application, the User must provide their name and email address.

6.2 The User sets a password for the Application, which must consist of at least 8 characters and at least one capital letter and one number.

6.3 Before registering, the User must read and accept the Terms and Conditions and the Privacy Policy.

6.4 After fulfilling the above obligations, to confirm the User's access to the provided email address, the User will receive an email with an activation link, activating which will confirm access to the indicated email address.

6.5 Registration is considered completed upon activation of the User's account.

6.6 After completing Registration, the User will receive the Terms and Conditions electronically to the email address provided by the User during Registration.

7. Purchase of Wellysa Service

7.1 After registration, in order to proceed to the section for placing an Order for the implementation of the Wellysa Service, the User should familiarize themselves with:
7.1.1 A simplified information presentation in the Application, before starting the purchase, in a simplified manner the most important elements constituting the ordered health service provided as part of the ordered Wellysa Service.
7.1.2 A Wellysa service card, available as a downloadable PDF file in the Application, next to the section presenting simplified information about the service, presenting the detailed scope of ordered health services and the rules for their implementation, as well as the deadlines for the completion of individual service elements guaranteed by NZOZ Wellysa.
7.1.3 A map of facilities, presenting Laboratories, Collection Points, and Wellysa Medical Partners where all or a necessary portion of the ordered Wellysa Service can be completed, in particular donating blood or other material for testing, collecting a self-test kit, or providing other preventive healthcare services.

7.2 After reviewing the information indicated in point 7.1, the User must:
7.2.1 read and accept the "Wellysa Service Terms and Conditions" and confirm that they are aware that they are entering into a remote health care service agreement with NZOZ Wellysa, and confirm that accepting the "Wellysa Service Terms and Conditions" constitutes informed consent to the provision of health care services, which constitute the Wellysa Service provided by NZOZ Wellysa, implemented in cooperation with Laboratories, Collection Points, and Wellysa Medical Partners,
7.2.2 read and accept the "Privacy and Cookie Policy for the Wellysa Mobile Application and the website www.wellysa.com" regarding the methods of guaranteeing the confidentiality and protection of personal and medical data by NZOZ Wellysa,
7.2.3 confirm that they have been informed and acknowledge that the provision of the Service Under Article 38, Section 1 of the Act of 30 May 2014 on Consumer Rights, the User's right to withdraw from the Healthcare Services Agreement expires 14 days after the conclusion of the Healthcare Services Agreement, at the User's request.
7.2.4 If medically necessary, submit the necessary declarations via the Application confirming the User's compliance with specific medical conditions that qualify for the purchase of a given Wellysa Service. Medical declarations may include, for example, a declaration of personal or family medical history, genetic affiliation to specific ethnic groups, or other information related to the design of a given Wellysa Service. The need to submit separate medical declarations depending on the selected Wellysa Service results from the medical design of individual services, which are designed to meet the User's individually determined risk profiles. NZOZ Wellysa cannot guarantee the appropriate quality of preventive services if the service is incorrectly matched to the User's risk profile.

7.3 Failure to consent to the provision of health services is tantamount to inability to use the Wellysa Service.

7.4 After placing the Order, the User is redirected to a page enabling payment of the Wellysa Service Fee, in accordance with Section 8 of the Terms and Conditions.

8. Fee

8.1 The User is obligated to pay the Fee for the Wellysa Service in advance.

8.2 Payment of the Fee is possible via the Application. The User's entry of a Partner Code into the Application is also considered payment of the Fee. In such a case, the provisions of points 8.3 - 8.8 do not apply.

8.3 When finalizing the Order and paying the Fee, the User, if they have one, may enter a Discount Code, which may result in a change in the price of the Wellysa Service.

8.4 The User may pay the Fee using online payment via the payment gateway provided by the Payment Service Provider.

8.5 The User may use one of the following payment methods, supported by the Payment Service Provider: (i) payment card (Visa or Mastercard); (ii) fast online transfer; (iii) BLIK (iv) payment in 3 installments with Klarna. The payment method must be selected each time before confirming the Order.

8.6 After selecting the payment method and confirming it by clicking the "I confirm with the obligation to pay" button, the User will be displayed with an appropriate panel enabling them to pay the Fee in the App in the selected method. The panel presented in the App is managed by the Payment Service Provider.

8.7 If the User chooses to pay by card, online transfer, or BLIK code, the User is obligated to provide funds corresponding to the value of the Fee at the time of placing the Order. If the Fee is not paid, the Order will not be processed.

8.8 The User acknowledges that they will receive an invoice in connection with the payment of the Fee and consents to NZOZ Wellysa issuing electronic invoices in PDF format and sending them to the email address provided by the User in the User account, as well as placing them in the profile module of the Application.

8.9 The price for the Wellysa Service is specified in the tariff available in the Application.

8.10 The Fee is deemed paid when the funds are credited to NZOZ Wellysa's account. Payment of the Fee constitutes the conclusion of a Healthcare Services Agreement between NZOZ Wellysa and the User under the terms specified in the Order.

8.11 After successful payment, the User will receive an email to the address provided when creating a User account in the Application, containing at least:
8.11.1 confirmation of payment,
8.11.2 confirmation of conclusion of the Healthcare Services Agreement,
8.11.3 Terms and Conditions of Wellysa Service.

8.12 Despite placing the Order and paying the Fee, NZOZ Wellysa and the Laboratory will not fulfill the Healthcare Services Agreement if the User provides data in a form that prevents the provision of health care services (e.g., a fictitious name and surname or PESEL number, a mistake in the telephone number indicating the absence of such a number). The inability to fulfill the Healthcare Services Agreement for the reasons indicated in point 8.12 does not constitute grounds for a refund of the Fee.

9. Completing the Profile

9.1 After purchasing the Wellysa Service, the User is asked to complete their profile with detailed personal data necessary to provide the medical service, such as:
9.1.1 surname,
9.1.2 PESEL (Polish National Identification Number),
9.1.3 residential address,
9.1.4 telephone number

10. Consent to Scientific Research

10.1 The research conducted by NZOZ Wellysa aims to identify significant medical markers, such as DNA changes, biochemical changes, changes in blood parameters, or other deviations in the tested materials and metrics, as well as behavioral and environmental markers correlated with health, which individually or interactively increase the risk of serious diseases such as heart disease, cancer, and others.

10.2 Scientific research may be conducted independently by NZOZ Wellysa or in collaboration with Scientific Partners.

10.3 The current list of Scientific Partners with whom scientific cooperation agreements have been concluded is:
10.3.1 Diagnostic Medicine of the Pomeranian Medical University Sp. z o.o.,
10.3.2 Hereditary Cancer Center of the Pomeranian Medical University in Szczecin,
10.3.3 Read Gene NZOZ Innowacyjna Medycyna Sp. z o.o.,
10.3.4 Interhem Sp. z o.o.

10.4 Research projects in which NZOZ Wellysa participates include:
10.4.1 Project "Oncological Bank of Biological Samples - creation of a registry of clinical data and biological samples for genetic-clinical correlation studies." Read Gene NZOZ Innowacyjna Medycyna Sp. z o.o., in cooperation with the Hereditary Cancer Center of the Pomeranian Medical University in Szczecin and Diagnostic Medicine of the Pomeranian Medical University Sp. z o.o., together with numerous research centers in Poland and around the world, has been conducting research on genetic-clinical correlations for many years, aimed at improving the prevention, early diagnosis, and treatment of hereditary cancers. Recent research results (publications available in the Application, in the knowledge module, among others) have shown that the combined analysis of pedigree and clinical data (genogram), the occurrence of the most common DNA founder mutations in the Polish population, and measurements of element concentrations in blood are highly effective in identifying individuals at high risk of developing cancer.

10.5 Biological material (blood or other material) collected from individuals who voluntarily consent to participate in research for the Wellysa Service may be stored in locked rooms, preventing unauthorized access. The collected tissue, identified only by a code number, will be stored in a secure location for up to 25 years. After this time, they will be destroyed, or any information that could be used to link the samples to the patient will be completely destroyed.

10.6 NZOZ Wellysa reserves the right to destroy the samples or instruct the Scientific Partner with whom it conducts research to destroy the samples for any reason, both during the research and after its completion.

10.7 Personal data will never be disclosed, and research results will always be published in an anonymous form.

10.8 Research participants may withdraw their consent to participate in the program at any time, which will not in any way affect the operation of the purchased Wellysa Service.

10.9 By giving consent to the use of data for scientific research, the User acknowledges that the data processed in scientific projects may also be used in an anonymous form in other research conducted by Wellysa Scientific Partners.

10.10 Wellysa informs that the research conducted by Wellysa is of a non-disclosure nature. longitudinal statistical analyses and do not constitute a medical experiment within the meaning of Article 21, Section 4 of the Medical Profession Act.

10.11 Users' additional questions regarding participation in scientific research may be directed to [email protected]

11. Consent to Communication

11.1 The User will be asked to voluntarily consent to receive marketing communications to inform them about new functionalities and additional campaigns conducted by NZOZ Wellysa via the Wellysa Application.

11.2 The User may consent to contact via SMS and/or email and/or phone notifications.

12. Family Oncology History Survey

12.1 If the purchased Wellysa Service includes a Genogram Analysis, the User must complete a personal and/or family history survey of certain diseases in the App to use the Wellysa Service. Please note that the answers to the questions posed in the survey are essential for a proper risk assessment. The User should complete the survey without rushing, and the survey can be interrupted and resumed at a later time in the App. If the answer to a question is unknown and the User is unable to determine the answer, the User may select the "I don't know" option.

12.2 After completing all fields of the genogram survey, the User will be presented with a summary of the survey. If errors or omissions are identified that can be corrected, the User should edit the survey and change the incorrectly entered data, or, after determining the response, complete the uncompleted fields.

12.3 After the survey is completed and reviewed, the User submits the survey for further medical analysis. Submitting the survey closes the possibility of further editing.

13. Donating Blood or Other Material

13.1 If the purchased Wellysa's Service requires the User to collect blood or other biological material, the User selects an available Laboratory, Collection Point, or Wellysa's Medical Partner in the Application where all or part of the Wellysa's Service can be completed.

13.2 From the list of available facilities presented in the Application where the User can complete all or part of the Wellysa's Service, the User selects a convenient facility where they decide to submit their biological material for testing. The User may change their selection of collection point until they visit the reception desk of the selected facility and authorize the service process at the reception desk.

13.3 The Wellysa's Service may require the User to undergo special preparation for the test, e.g., a specialized diet. After selecting the address of the facility where the User wishes to complete all or part of the Wellysa's Service, the User receives information on the recommended preparation method for the test. By visiting the selected facility, the User declares that they have complied with the recommendations. Failure to comply with the Wellysa's Service recommendations may result in the inability to properly perform the Wellysa's Service, including incorrect results, incorrectly labeled risks, and incorrect preventive recommendations.

13.4 The User visits the selected facility and presents their Wellysa's Application at the reception desk. They then follow the instructions of the selected facility's employee, who instructs them on the next steps in performing the Wellysa's Service.

13.5 After collecting blood or other material, the Laboratory, Blood Collection Point, or Wellysa's Medical Partner will appropriately mark the sample to enable its correct identification and then forward the sample to NZOZ Wellysa, or a Laboratory or Wellysa's Medical Partner designated by NZOZ Wellysa.

14. Results Analysis and Wellysa's Report

14.1 The Laboratory, Collection Points, and Wellysa's Medical Partners cooperate with NZOZ Wellysa based on the Healthcare Services Agreement.

14.2 The collected blood or other material sample is tested and its results are forwarded to NZOZ Wellysa.

14.3 Authorized NZOZ Wellysa employees perform a final analysis of all the ordered test results and then, with the support of the Wellysa's analytical system, prepare the Wellysa's Report, presenting the risk indication and formulated preventive recommendations.

14.4 The Wellysa Report is prepared within the time specified on the Wellysa Product Card, which is part of the Wellysa Service Agreement.

14.5 Only the User and authorized employees have access to the information contained in the Wellysa Report. Wellysa NZOZ, as well as doctors authorized by the User who are Wellysa Medical Partners or who provide medical services to Wellysa Medical Partners.

15. Liability

15.1 NZOZ Wellysa is responsible for the provision of healthcare services included in the scope of the Wellysa Service and constituting the subject of the Healthcare Services Agreement concluded with the User. Detailed principles of responsibility for the security and processing of personal and/or medical data are described in the document "Privacy Policy and Use of Cookies for the Wellysa Mobile Application and the Website www.wellysa.com"

15.2 NZOZ Wellysa is not responsible for:
15.2.1 the User providing data that is inconsistent with the facts, incomplete, or outdated during Registration, when purchasing the Wellysa Service, or during the implementation of the Wellysa Service,
15.2.2 any damage caused by Users violating the rights of third parties in connection with the use of the Application,
15.2.3 consequences caused by the takeover of the User's password by third parties Application,
15.2.4 damage resulting from disruptions in the operation of the Application or its unavailability caused by reasons beyond the control of NZOZ Wellysa, or which occurred as a result of events that NZOZ Wellysa was unable to prevent,
15.2.5 any damage caused by the User's failure to comply with the provisions of these Terms and Conditions,
15.2.6 refusal to provide healthcare services under the Wellysa Service by a Laboratory, Collection Point, or Wellysa Medical Partner, and any damage resulting therefrom.

16. Intellectual Property Rights

16.1 Content posted on the Website, such as graphics, texts, icons, illustrations, trademarks, databases, software, their arrangement and composition, are protected under the Act of 4 February 1994 on Copyright and Related Rights, the Act of 27 July 2001 on Database Protection, the Act of 30 June 2000 - Industrial Property Law, and the Act of 16 April 1993 on Combating Unfair Competition.

16.2 The rights to works, trademarks, and databases made available on the Website are owned by NZOZ Wellysa or third parties. If the rights in question are held by third parties, NZOZ Wellysa presents works, trademarks, and databases on the Website based on relevant agreements concluded with these parties, in particular license agreements and agreements on the transfer of copyrights, or on the basis of applicable legal provisions.

16.3 Without the express written consent of NZOZ Wellysa, no part of the Website may be reproduced, distributed, or used in any manner contrary to the terms of the license referred to in section 16.4 below. In particular, the Website user may not modify, translate, adapt, decompile, reverse engineer, sell, or sublicense any components of the Website, or use derivative works thereof, without the prior written consent of NZOZ Wellysa.

16.4 NZOZ Wellysa grants the User a non-exclusive license to use the works distributed on the Website, including within the available functionalities, solely for non-commercial purposes, covering the following fields of use:
16.4.1 in the case of the Application – to record and reproduce the works by installing the Application software on a mobile device;
16.4.2 in the case of the Application and the Website – to distribute the works by displaying or playing the works, solely as part of using the Website in accordance with the Terms of Use.

17. Complaints Procedure

17.1 The User has the right to submit inquiries, comments, and complaints regarding the Wellysa Services provided via the Application.

17.2 All complaints related to the performance of the Agreement for the provision of services by electronic means, as well as comments and questions, should be submitted to NZOZ Wellysa by email to [email protected].

17.3 All complaints related to the performance of the Healthcare Services Agreement, as well as comments and questions, should be submitted to NZOZ Wellysa, the healthcare entity that is a party to the Healthcare Services Agreement, by email to the following address: [email protected]

17.4 It is recommended that the complaint contain at least:
17.4.1 data allowing for the identification of the User and contacting them: first and last name, email address, contact telephone number, correspondence address,
17.4.2 specification of the subject of the complaint and the circumstances giving rise to it, together with the date they occurred,
17.4.3 specification of the User's expectations towards NZOZ Wellysa, in particular an indication of the desired actions on the part of NZOZ Wellysa.

17.5 NZOZ Wellysa, to which the complaint was submitted, will consider the complaint within 14 days from the date It will receive the complaint and immediately inform the User about its processing via email. If the data or information provided in the complaint requires supplementation, NZOZ Wellysa may request the complainant to supplement it before processing the complaint. In such a situation, the 14-day period is counted from the moment the User correctly completes the data.

18. Medical Records

18.1 Wellysa NZOZ, Laboratories, Collection Points, and Wellysa Medical Partners are obligated to maintain medical records in connection with the healthcare services provided to the User as part of the Wellysa Services.

18.2 Medical records maintained by individual entities providing healthcare services are maintained, stored, and made available in accordance with the principles arising from the provisions of generally applicable law, in particular the provisions of the Act of November 6, 2008, on Patients' Rights and the Patient Ombudsman, the Act of April 28, 2011, on the Healthcare Information System, and the Regulation of the Minister of Health of April 6, 2020, on the types, scope, and templates of medical records and the method of their processing.

19. Conclusion and Termination of the Agreement

19.1 The Agreement for the provision of electronic services is concluded upon commencement of the provision of services by NZOZ Wellysa on the Website, in particular after Registration of the User Account and after the purchase of the Wellysa Service.

19.2 The Agreement for content display services on the Website is concluded for a fixed term and terminates upon termination of use of the Services. The Agreement for services requiring Account Registration and logging in is concluded for an indefinite term and terminates upon deactivation of the User's account.

19.3 The User is entitled to terminate the Agreement for the provision of electronic services. Termination of the Agreement is effected by submitting a declaration by selecting the "Delete Account" option in the Application.

19.4 After successfully completing the procedure described in point 19.3, the Agreement for the provision of electronic services expires upon the expiry of the 30-day notice period, counted from the date of submitting the declaration, i.e., submitting the declaration by selecting the "Delete Account" option in the Application.

19.5 The Agreement for healthcare services concluded by NZOZ Wellysa with the User is deemed concluded upon payment of the Fee by the User.

19.6 The Agreement for healthcare services is effective until the Wellysa Service is provided or the Wellysa Service is refused, in accordance with the provisions of the Terms and Conditions.

20. Final Provisions

20.1 NZOZ Wellysa reserves the right to amend these Terms and Conditions at any time. Amendments to the Terms and Conditions are effective from the moment they are posted in the Application and apply to contracts concluded after the publication of the Terms and Conditions.

20.2 In matters not regulated by these Terms and Conditions, the provisions of applicable law shall apply, in particular the provisions of the Act of April 23, 1964, the Civil Code, and the Act of July 18, 2002, on the provision of electronic services.

20.3 Any disputes related to the Services provided by NZOZ Wellysa on the Website will be resolved by the competent Polish common courts.
